Welcome to Saltly AI, operated by Saltly LLC ("Saltly," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our website at saltlyai.com and our AI-powered dispute management platform (collectively, the "Service").
By accessing or using our Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Service.
Important: If you are entering into a paid subscription for our merchant services, you will also be required to sign our Merchant Services Agreement, which contains additional terms regarding fees, refunds, and service-level expectations.

Saltly LLC is a Florida limited liability company that provides an AI-powered software and support service to help restaurant merchants recover potential losses from third-party delivery platforms such as UberEats, DoorDash, and Grubhub.

To use our Service, you must:
- Be at least 18 years of age
- Have the legal capacity to enter into a binding contract
- Represent a legitimate business entity (for merchant accounts)
- Reside in the United States (our Service is currently US-only)
- Comply with all applicable laws and regulations
By using our Service, you represent and warrant that you meet these eligibility requirements.
4. Account Registration and Security
4.1 Account Creation
To access certain features of our Service, you must create an account by providing:
- A valid email address
- A secure password
- Restaurant name and business details (for merchant accounts)
- Accurate and complete information
4.2 Account Security
You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized access or security breach
- Ensuring your contact information remains current and accurate
4.3 Account Suspension and Termination
We reserve the right to suspend or terminate your account if you:
- Violate these Terms
- Provide false or misleading information
- Engage in fraudulent or illegal activity
- Abuse or misuse our Service
- Fail to pay applicable fees
5. Description of Services
5.1 Core Services
Saltly provides:
- Evidence Collection: Tools to capture timestamped photos of orders and receipts using camera-equipped devices
- Evidence Organization: AI-powered review and organization of dispute evidence
- Dispute Filing: Filing of disputes with third-party delivery platforms on your behalf (with your authorization)
- Platform Access: Software platform for managing disputes and tracking outcomes
5.2 Platform Integration
To use our dispute filing services, you agree to:
- Add Saltly as a staff member or manager on your delivery platform accounts (UberEats, DoorDash, Grubhub, etc.)
- Grant Saltly limited access to your order data, receipts, and platform dashboards solely for dispute management purposes
- Authorize Saltly to file disputes on your behalf
5.3 Service Limitations
Our Service is provided "as is" and we make no guarantees regarding:
- Dispute approval or resolution outcomes
- Refund amounts or timing from delivery platforms
- Availability or uptime of third-party delivery platforms
- Specific results or financial recovery amounts
Results depend on data quality, platform policies, timing, and factors outside of Saltly's control.
6. Fees and Payment
6.1 Subscription Fees
Merchant accounts are subject to the following fees:
- Monthly Subscription: $59 per location per month
- Billing Cycle: Monthly in advance
- Payment Method: Via Stripe payment links or payment method on file
6.2 Payment Terms
- Fees are due upon receipt of invoice
- Payments are processed through Stripe, our third-party payment processor
- You authorize us to charge your payment method for all applicable fees
- Late payments may result in service suspension
6.3 Refund Policy
We strive for full customer satisfaction. If you are not satisfied with our Service:
- You may request a full refund for the most recent month's payment
- Refund requests must be submitted in writing within 30 days of billing

- Refunds are processed within 10 business days
6.4 Fee Changes
We reserve the right to change our fees with 30 days' notice via email or notification on our Service. Continued use of the Service after fee changes constitutes acceptance of the new fees.
7. Term and Termination
7.1 Agreement Term
These Terms remain in effect as long as you use our Service. For paid merchant accounts:
- The subscription is month-to-month
- Automatically renews unless canceled
- Either party may cancel with 30 days' written notice
7.2 Termination by You
You may terminate your account at any time by:
- Using the account deletion option in your account settings
- Contacting us at developer@saltlyai.com
- Providing 30 days' written notice of cancellation (for paid subscriptions)
7.3 Termination by Saltly
We may terminate your account immediately if:
- You materially breach these Terms
- You engage in fraudulent or illegal activity
- You fail to pay applicable fees
- We discontinue the Service (with reasonable notice)
7.4 Effect of Termination
Upon termination:
- Your access to the Service will cease
- Your data will be handled according to our Privacy Policy
- You remain responsible for any outstanding fees
- Dispute photos will be deleted according to our 3-month retention policy (unless you delete them sooner)
- You may request immediate deletion of all your data
8. User Content and Conduct
8.1 Your Content
You retain ownership of all content you upload to our Service, including:
- Photos and images
- Order information
- Restaurant details
- Dispute documentation
By uploading content, you grant Saltly a limited, non-exclusive license to:
- Store, process, and analyze your content
- Use your content to provide dispute management services
- Share your content with delivery platforms for dispute purposes
8.2 Content Standards
You agree not to upload content that:
- Violates any law or regulation
- Infringes intellectual property rights
- Contains malware or harmful code
- Is fraudulent, false, or misleading
- Contains personal information of third parties without consent
8.3 Prohibited Conduct
You agree not to:
- Use our Service for illegal purposes
- Attempt to hack, reverse engineer, or compromise our systems
- Impersonate others or provide false information
- Abuse, harass, or threaten Saltly staff or other users
- Scrape, crawl, or extract data from our Service using automated tools
- Resell or redistribute our Service without authorization
- Submit fraudulent disputes or false evidence
9. Intellectual Property Rights
9.1 Saltly's Property
All software, systems, technology, algorithms, trademarks, and intellectual property developed by Saltly remain the sole and exclusive property of Saltly LLC. This includes:
- The Saltly platform and software
- AI models and algorithms
- Website design and content
- Logos, trademarks, and branding
9.2 Limited License
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Service for its intended purpose. This license does not include:
- Rights to modify, copy, or create derivative works
- Rights to reverse engineer or decompile our software
- Rights to use our intellectual property for commercial purposes
- Any ownership rights in our technology
9.3 Feedback
If you provide feedback, suggestions, or ideas about our Service, you grant Saltly an unlimited, irrevocable, perpetual, royalty-free right to use such feedback without compensation or attribution.
10. Marketing and Promotional Use
10.1 Use of Restaurant Information
By becoming a customer, you grant Saltly a non-exclusive, royalty-free, worldwide license to use:
- Your restaurant's name
- Your restaurant's logo
- General feedback or testimonial statements
- Case study information (with your approval)
For marketing and promotional purposes, including:
- Saltly's website and social media
- Advertising materials and presentations
- Customer success stories and testimonials
10.2 Opt-Out Rights
You may opt out of marketing use at any time by:
- Contacting us at developer@saltlyai.com
- Sending written notice requesting removal
- We will cease use within 30 days of your request
Saltly agrees to use such materials professionally and respectfully.
11. No Guarantee of Outcomes
IMPORTANT: Saltly provides tools and services to assist with dispute preparation and filing. However:
- We make no guarantee, warranty, or representation that any dispute will be approved, refunded, or resolved in your favor
- Dispute outcomes depend on third-party platform decisions, policies, and factors outside of Saltly's control
- Results may vary based on data quality, platform rules, timing, and other circumstances
- Past performance or success rates do not guarantee future results
By using our Service, you acknowledge and accept these limitations.
12. Disclaimers
12.1 Service Provided "As Is"
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- Warranties of merchantability, fitness for a particular purpose, or non-infringement
- Warranties that the Service will be uninterrupted, secure, or error-free
- Warranties regarding the accuracy, completeness, or reliability of content or results
12.2 Third-Party Platforms
We are not affiliated with, endorsed by, or responsible for the policies or actions of third-party delivery platforms (UberEats, DoorDash, Grubhub, etc.). We cannot control:
- Platform dispute policies or procedures
- Dispute approval or denial decisions
- Refund amounts or timing
- Platform availability or functionality
12.3 No Professional Advice
Our Service does not constitute legal, financial, tax, or professional advice. You should consult qualified professionals for such advice.
13. Limitation of Liability
13.1 Maximum Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- Saltly's total liability for any claim related to these Terms or the Service shall not exceed the total amount paid by you to Saltly during the three (3) months preceding the claim
- If you have not paid Saltly any fees, our liability is limited to $100
13.2 Excluded Damages
IN NO EVENT SHALL SALTLY BE LIABLE FOR:
- Indirect, incidental, special, consequential, or punitive damages
- Lost profits, revenue, data, or business opportunities
- Cost of substitute services
- Damages resulting from third-party platform decisions
- Damages from unauthorized access to your account
- Any damages exceeding the amounts specified above
13.3 Exceptions
Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for incidental or consequential damages. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.
14. Indemnification
You agree to indemnify, defend, and hold harmless Saltly LLC, its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from:
- Your use or misuse of the Service
- Your violation of these Terms
- Your violation of any law or regulation
- Your content or actions on the Service
- Disputes with delivery platforms related to your conduct
- Infringement of third-party rights
15. Confidentiality and Data Use
15.1 Confidential Information
Saltly will maintain the confidentiality of your data, including:
- Order information and receipts
- Restaurant business details
- Dispute evidence and documentation
- Platform credentials and access information
15.2 Limited Use
We will use your confidential information only to:
- Perform the services described in these Terms
- Comply with legal obligations
- Improve our Service (in anonymized, aggregated form)

16. Third-Party Services
16.1 Integration with Delivery Platforms
Our Service integrates with third-party delivery platforms. You are responsible for:
- Complying with the terms of service of those platforms
- Maintaining your accounts in good standing
- Understanding that we are not responsible for platform policies or changes
16.2 Payment Processing
Payments are processed through Stripe. By using our Service, you agree to Stripe's terms and privacy policy. We are not responsible for Stripe's processing or any issues related to payment processing.
16.3 Other Third-Party Services
Our Service may contain links to or integrate with other third-party services. We are not responsible for:
- The content, privacy practices, or availability of third-party services
- Your interactions with third parties
- Any damages resulting from third-party services
17. Independent Contractor Relationship
Saltly operates as an independent contractor. Nothing in these Terms creates:
- A partnership, joint venture, or agency relationship
- An employment relationship
- A franchise or distributor relationship
- Any fiduciary duty owed by either party
18. Dispute Resolution and Governing Law
18.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions.
18.2 Venue
Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Miami-Dade County, Florida. You consent to the personal jurisdiction and venue of these courts.
18.3 Informal Resolution
Before filing any legal claim, you agree to first contact us at developer@saltlyai.com to attempt to resolve the dispute informally. We will make good faith efforts to resolve disputes amicably.
18.4 Arbitration (Optional)
For disputes that cannot be resolved informally, both parties may agree to binding arbitration under the rules of the American Arbitration Association. Arbitration will take place in Miami, Florida.
18.5 Class Action Waiver
You agree to bring claims only in your individual capacity and not as part of any class or representative action. You waive the right to participate in class actions against Saltly.
19. Modifications to Terms
19.1 Right to Modify
We reserve the right to modify these Terms at any time. When we make changes, we will:
- Update the "Last Updated" date at the top of this document
- Notify you via email if the changes are material
- Post a notice on our Service
- Provide at least 30 days' notice for material changes affecting paid services
19.2 Acceptance of Changes
Your continued use of the Service after modifications become effective constitutes acceptance of the modified Terms. If you do not agree to the modifications, you must stop using the Service and may terminate your account.
20. General Provisions
20.1 Entire Agreement
These Terms, together with our Privacy Policy and any applicable Merchant Services Agreement, constitute the entire agreement between you and Saltly regarding the Service and supersede all prior agreements, communications, and understandings.
20.2 Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
20.3 Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by Saltly.
20.4 Assignment
You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms to any successor entity in the event of a merger, acquisition, or sale of assets.
20.5 Force Majeure
Saltly shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, or government actions.
20.6 Notices
All notices under these Terms must be in writing and sent to:

20.7 Survival
Provisions that by their nature should survive termination shall survive, including: intellectual property rights, disclaimers, limitations of liability, indemnification, and dispute resolution provisions.
